Terms of Service

Effective date: 23 August 2026 · Version: 1.1

These Terms of Service ("Terms") govern the use of the Menufolk ordering platform (the "Service"), provided by Alexander Panayi, of [Address to be added on incorporation], Cyprus (the "Provider", "we", "us"), to the business subscribing to the Service (the "Venue", "you").

By subscribing to, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

The Service is software that lets a Venue's customers ("Diners") scan a QR code at their table, view the Venue's menu, place orders, and pay from their own device. Orders are shown to the Venue's staff, and payments are processed through the Venue's own payment account as described in section 5.

We provide the software only. We do not prepare, sell, or supply food, drink, or any other goods to Diners. The Venue remains solely responsible for its menu, its food and drink, its prices, its service, and its compliance with all laws applicable to running its business.

2. Eligibility and account

  • The Venue must be a business operating lawfully in Cyprus, and the person accepting these Terms must be authorised to bind the Venue.
  • You are responsible for keeping your account credentials, and those of your staff accounts, secure and confidential.
  • You are responsible for everything done through your account and your staff accounts.

3. Subscription and fees

The Service is provided for: a monthly subscription of €50 per month per venue, plus a per-order platform fee, which is currently 3% of the food subtotal of each order unless a different rate is agreed with your venue (the "Platform Fee"). The Platform Fee is charged on the food subtotal only and does not apply to tips/gratuities. The current rate applicable to your venue is shown in your account.

  • Our fees are subject to VAT at the applicable rate. We will issue you a monthly VAT invoice covering the subscription and the Platform Fees collected in that period.
  • The Platform Fee is deducted automatically from each order at the time of payment via Stripe (see section 5); your monthly VAT invoice for Platform Fees will note that it is settled via automated Stripe Connect deduction.
  • The monthly subscription is billed in advance and is non-refundable for the period already started, except where required by law.
  • We may change our fees (including the subscription and the Platform Fee rate) on reasonable prior notice. If you do not accept a fee change, you may cancel before it takes effect. Continued use after the change takes effect means you accept the new fees.

4. Term, cancellation and suspension

  • The subscription runs monthly and renews automatically until cancelled.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period. You will retain access until then.
  • We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service unlawfully, or if required by our payment processor or by law. Where practical we will give notice.
  • On termination, your right to use the Service ends. Your data is handled as described in the Privacy Policy.

5. Payments — the Venue is the seller and merchant of record

The relationship between the parties, and the handling of payments, is as follows:

  • The Provider acts solely as a technical intermediary and software provider. In facilitating orders and payments, the Provider acts in the name of and on behalf of the Venue.
  • The contract for the sale of food and drink is made strictly between the Venue and the Diner (the end-customer). The Provider is not a party to that sale, is not the seller, and does not supply the food or drink.
  • Payments made by Diners are processed through Stripe. The Venue connects its own Stripe account and is the merchant of record for all sales to Diners. Diners' payments are made to, and received by, the Venue's own Stripe account. The Provider does not receive, hold, or control Diners' funds.
  • The Venue is the seller of the food and drink and is solely responsible for the sale, including issuing any legally required fiscal/tax receipt to the Diner through its own systems.
  • The Provider's Platform Fee is collected automatically by Stripe from each transaction as an application fee and paid to the Provider; the remainder settles to the Venue's account.
  • The Venue's use of Stripe is subject to Stripe's own terms (including the Stripe Connected Account Agreement). The Venue is responsible for maintaining its Stripe account in good standing. Stripe's standard processing fees, and any reserves, holds, or rolling reserves Stripe may impose on the Venue's account, are borne by the Venue and are governed by Stripe's terms; the Provider does not control them.

6. The Venue's responsibilities

  • Menu accuracy, including prices, descriptions, and especially allergen and dietary information. You are responsible for the accuracy of allergen data you enter; the Service displays what you provide.
  • Issuing any legally required fiscal/tax receipt to Diners through your own POS/systems, and complying with tax, food-safety, licensing, and consumer-protection law.
  • Fulfilling orders placed through the Service and handling refunds, complaints, and disputes with Diners.
  • Ensuring your staff use the Service appropriately and that staff access is removed when someone leaves.

7. Acceptable use

You agree not to: use the Service unlawfully; upload unlawful, infringing, or harmful content; attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service; or use it to process payments for anything other than genuine sales at your venue.

8. Availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, technical issues, or factors outside our control (including third-party providers such as Stripe or hosting providers). We are not liable for Diner orders that cannot be placed during an outage; you should be able to continue serving customers by your normal means.

9. Intellectual property

We own all rights in the Service and its software. You are granted a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your own content (menu, venue details, logo). You grant us the right to host and display that content as needed to provide the Service.

10. Data protection

Each party will comply with applicable data-protection law (including the GDPR). In providing the Service we process personal data of Diners and of your staff on your behalf; the terms of that processing are set out in our Privacy Policy and, where applicable, a Data Processing Agreement between us. You are responsible for having a lawful basis for the Diner data collected through your use of the Service.

11. Limitation of liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available", without warranties beyond those that cannot be excluded by law.
  • We are not liable for indirect, incidental, or consequential loss, or for loss of profits, revenue, goodwill, or data.
  • Our total liability to you for any claim arising out of or relating to the Service is limited to the total fees you paid us in the three (3) months before the event giving rise to the claim.
  • Nothing in these Terms excludes liability that cannot lawfully be excluded (such as for death or personal injury caused by negligence, or fraud).

12. Indemnity

You agree to indemnify us against claims, losses, and costs arising from your use of the Service in breach of these Terms, your sales to Diners, your content (including menu and allergen information), or your breach of law.

13. Changes to these Terms

We may update these Terms from time to time. We will give reasonable notice of material changes. Continued use of the Service after changes take effect means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of Cyprus, and the courts of Cyprus have jurisdiction over any dispute, without prejudice to any mandatory consumer or statutory rights.
